Non Profit Formation in Tennessee
To form a non profit organization in Tennessee, you must file a Non Profit Charter (SS-4418) with the Tennessee Department of State. Federal Tax Exemptions
In order to be tax exempt as a 501c3, after incorporation, your Tennessee nonprofit must complete and submit Form 1023 to the Internal Revenue Service for processing and approval. The process for approval typically takes about 3 – 5 months. Once approved, your organization will receive a Determination Letter from the IRS granting tax exempt status as a 501c3.
State Tax Exemptions

Charitable Solicitation
In general, charitable organizations that solicit contributions directly or indirectly within the State of Tennessee must register with the Division of Charitable Solicitations and Gaming, unless the organization is exempt from registration. Registration requires the filing of an Application for Registration of a Charitable Organization, along with the organization’s charter and, if available, a letter of determination of exempt status from the IRS.
